1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ContentStudio ("Company," "we," "us," or "our") regarding your access to and use of the ContentStudio platform, website, and services (collectively, the "Service").

ContentStudio is an AI-powered social media management platform that enables users to create, schedule, and publish content across multiple social media platforms including Instagram, Facebook, Twitter/X, and LinkedIn. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

2. Eligibility

To use ContentStudio, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials

By creating an account, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, truthful, and complete information
• Update your information to keep it current and accurate
• Maintain the confidentiality of your password and account credentials
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that we deem inappropriate or harmful to the Service or other users.

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease, and we may delete your content and data as described in our Privacy Policy.

4. Subscription Plans and Payment

4.1 Subscription Tiers

ContentStudio offers multiple subscription plans, including:

• Free Plan: Limited features with usage restrictions
• Starter Plan: Enhanced features for individuals and small businesses
• Professional Plan: Advanced features for growing businesses
• Enterprise Plan: Unlimited features for large organizations

Each plan includes specific limits on AI generations, posts, social media accounts, and other features as detailed on our pricing page.

4.2 Payment Terms

For paid subscriptions:

• Payments are processed monthly in advance
• All fees are non-refundable except as required by law or as explicitly stated in these Terms
• You authorize us to charge your payment method on a recurring basis
• Prices are subject to change with 30 days' notice
• Failure to pay may result in service suspension or termination
• You are responsible for any taxes applicable to your subscription

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. You will continue to have access to paid features until the end of the period for which you have paid.

We do not provide refunds for partial months or unused features, except where required by law or in cases of service failure on our part.

5. Acceptable Use of Service

5.1 Permitted Use

You may use ContentStudio to:

• Create and generate social media content using our AI tools
• Schedule and publish content to your connected social media accounts
• Manage multiple brand profiles and social media accounts
• Access analytics and insights about your social media performance
• Store and organize your content library

5.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal, harmful, or fraudulent purpose
• Generate, publish, or share content that is defamatory, obscene, hateful, or discriminatory
• Violate any applicable laws, regulations, or third-party rights
• Infringe on intellectual property rights, including copyrights and trademarks
• Spread misinformation, spam, or malicious content
• Attempt to circumvent usage limits or access restrictions
• Reverse engineer, decompile, or attempt to extract source code from our Service
• Use automated systems or bots to access the Service (except our authorized AI)
• Interfere with or disrupt the integrity or performance of the Service
• Access another user's account without authorization
• Resell or redistribute the Service without our written permission
• Use the Service to compete with ContentStudio

6. Social Media Platform Integration

6.1 Third-Party Platform Terms

When you connect your social media accounts (Instagram, Facebook, Twitter/X, LinkedIn) to ContentStudio, you agree to comply with the terms of service, community guidelines, and privacy policies of those platforms. We are not responsible for any violations of third-party platform terms that occur through your use of our Service.

6.2 Authorization and Access

By connecting your social media accounts, you authorize ContentStudio to:

• Access your account information and profile data
• Post content on your behalf as per your instructions
• Retrieve analytics and engagement metrics
• Perform actions necessary to provide the Service

You can revoke this authorization at any time by disconnecting your accounts through your settings or directly through the social media platform.

6.3 Platform Limitations

Certain features and capabilities are subject to limitations imposed by social media platforms. For example, Instagram posts cannot be automatically deleted via API and must be removed manually. We are not responsible for limitations or changes made by third-party platforms that may affect the Service.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including all software, text, graphics, logos, icons, images, audio, video, data compilations, and the underlying technology, is owned by ContentStudio and is protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose in accordance with these Terms. This license does not grant you any ownership rights to the Service or its content.

7.2 Your Content

You retain all ownership rights to the content you create, upload, or generate using ContentStudio ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display Your Content to provide the Service
• Use Your Content to improve our AI models and algorithms (in anonymized form)
• Backup and archive Your Content for disaster recovery
• Publish Your Content to social media platforms as per your instructions

This license terminates when you delete Your Content or close your account, except for content that has been published to social media platforms or shared with third parties.

7.3 AI-Generated Content

Content generated by our AI tools is provided to you for your use. While you may use, modify, and publish this content, you acknowledge that:

• AI-generated content may not be unique and similar content may be generated for other users
• You are responsible for reviewing and approving all AI-generated content before publishing
• We do not guarantee the accuracy, quality, or suitability of AI-generated content
• You must ensure AI-generated content complies with applicable laws and platform policies

8. User Content and Responsibility

You are solely responsible for all content you create, upload, publish, or share through the Service. You represent and warrant that:

• You own or have the necessary rights to use and share Your Content
• Your Content does not violate any third-party rights (copyright, trademark, privacy, publicity)
• Your Content does not violate any applicable laws or regulations
• Your Content is accurate and not misleading
• Your Content complies with social media platform terms and community guidelines

We reserve the right to remove or refuse to publish any content that violates these Terms or is otherwise objectionable, but we have no obligation to monitor or review user content.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE QUALITY OR EFFECTIVENESS OF AI-GENERATED CONTENT

We do not guarantee that:

• The Service will meet your specific requirements or expectations
• AI-generated content will be accurate, appropriate, or effective
• Social media integrations will always function correctly due to third-party platform changes
• Your content will achieve specific engagement or performance metrics
• The Service will be free from bugs, viruses, or other harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTENTSTUDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• SERVICE INTERRUPTIONS, DATA LOSS, OR SYSTEM FAILURES
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT
• STATEMENTS OR CONDUCT OF THIRD PARTIES ON OR THROUGH THE SERVICE
• DAMAGES RESULTING FROM YOUR USE OF AI-GENERATED CONTENT
• ACTIONS OR INACTIONS OF THIRD-PARTY SOCIAL MEDIA PLATFORMS

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (WHICHEVER IS GREATER).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless ContentStudio and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights, including intellectual property rights
• Your Content, including any claims related to defamation, privacy violations, or copyright infringement
• Your interactions with social media platforms through the Service

12. Changes to Service and Terms

12.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. This includes adding or removing features, changing usage limits, or modifying pricing. We are not liable for any modifications, suspensions, or discontinuations of the Service.

12.2 Terms Modifications

We may update these Terms from time to time. When we make material changes, we will notify you via email or through a prominent notice in the application. Your continued use of the Service after such notification constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Notwithstanding the above, either party may seek injunctive or equitable relief in court to prevent the unauthorized use of intellectual property or confidential information.

14. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ContentStudio regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or internet service disruptions.
